ARTICLE 1: PURPOSE

By placing an order, the buyer fully and unreservedly agrees to these general terms and conditions of sale, to the exclusion of all other documents, such as brochures, catalogs, or any other written materials issued by SECURIPRO.

ARTICLE 2: QUOTE – ORDER

Any order exceeding the legal minimum required by law is subject to a prior written estimate, which is provided to the customer for approval. Any accepted quote constitutes a binding order on the part of the customer. The order is binding on SECURIPRO only after it has been accepted by SECURIPRO, which reserves the right to refuse the order within 8 business days from the date of receipt of the order. An accepted order may not be canceled without the express written consent of SECURIPRO.

ARTICLE 3: SALE PRICE – PAYMENT TERMS

The selling price of products sold in-store, or services performed on-site by SECURIPRO, includes all taxes. SECURIPRO’s invoice is based on the rates in effect on the date it is issued. It is payable in cash, without discount, on the day of the sale at our premises or upon completion of the on-site service.

ARTICLE 4: ON-SITE SERVICE

SECURIPRO’s prices cover work performed at the customer’s location until the job is completed. Access to the construction site must be unrestricted during normal workdays and hours. Any interruption in work that is not attributable to SECURIPRO will result in additional charges. Moving furniture, fragile items, or any other obstacles during an installation is always at the customer’s own risk; the customer is normally expected to have cleared them away before the work begins.

ARTICLE 5: DELIVERY OR ON-SITE SERVICE TIMES

Products are deemed to have been delivered to our premises in standard packaging. The delivery times listed on the quote or purchase order are provided for informational purposes only, and delays within customary limits shall not give rise to claims for damages or cancellation of the order.

For security keys with a specific number, the delivery time is between 2 and 4 weeks from the date the order is confirmed and all required documents are received. This timeframe may vary depending on the production lead times at the manufacturer’s plant.

ARTICLE 6: FORCE MAJEURE

All of SECURIPRO’s obligations are suspended in the event of a riot, fire, flood, or any other accident resulting in the complete or partial destruction of the company, its inventory, or supplies, or the cessation of its operations, as well as in the event of a total or partial strike or a shortage of power or raw materials resulting from a general cause.

ARTICLE 7: WARRANTY

SECURIPRO warrants the products sold against any defects in materials or workmanship for a period of 1 year, covering both parts and labor, effective from the date of delivery, in accordance with the manufacturer’s warranty certificate included with the products, unless the manufacturer provides a specific warranty that differs from this one.

ARTICLE 8: AFTER-SALES SERVICE

Repair services are provided as quickly as possible after we receive the customer’s request. SECURIPRO is not responsible for the delivery times of spare parts from its suppliers. Customers can sign up for an annual subscription for periodic maintenance visits.

ARTICLE 9: RETENTION OF TITLE CLAUSE

SECURIPRO retains ownership of the products sold until full payment has been received. Failure to pay may result in the seizure of the affected property. This provision does not preclude the transfer to the customer, upon delivery, of the risk of loss, theft, or damage to the products sold.

ARTICLE 10: CANCELLATION OF THE SALE – LATE PAYMENT INTEREST

Failure to pay the purchase price by the due date shall automatically and without prior notice give rise to the payment of late-payment interest equal to one and a half times the statutory interest rate plus 2 percentage points, provided that such interest shall never exceed the usury rate. In the event of nonpayment, 48 hours after a formal notice has gone unanswered, the sale will be automatically terminated, and SECURIPRO may demand the return of the products at the customer’s expense.

ARTICLE 11: INSURANCE

SECURIPRO has taken out liability insurance covering “construction work” and “post-construction work.”

ARTICLE 12: JURISDICTION—GOVERNING LAW

French law is the sole applicable law. In the event of a dispute, the competent court within the jurisdiction of the Court of Appealsof AIX-EN-PROVENCE shall have exclusive jurisdiction, even in the event of a third-party complaint and/or multiple defendants.
